Referral Partner Agreement

This Referral Partner Agreement (the "Agreement") governs your participation in the RocketVault referral program (the "Program"). By generating, sharing, or earning from a RocketVault referral link, you agree to these terms. The Program is part of, and subject to, our Terms of Service and Privacy Policy.

1. Overview & Eligibility

Every RocketVault user — including free-tier users — gets a unique personal referral code and link. When someone signs up with your link, they receive a 30-day free trial (longer than the standard trial), and once they become a paying subscriber you earn a recurring commission on the revenue we collect from their subscription, for as long as they stay continuously paid.

To participate, you must:

• Have a RocketVault account in good standing;
• Comply with this Agreement, our Terms of Service, and all applicable laws;
• Not refer yourself. Self-referrals are prohibited — you cannot earn a commission on your own subscription, accounts you control, or sign-ups created to game the Program.

2. Commission Structure

Commissions are tiered by the number of your referred subscribers and locked at the time each subscriber converts. Crossing a higher threshold later does not re-rate your earlier referred subscribers — each one continues to pay out at the rate of the band they fell into when they first became a paying subscriber.

Net revenue. Commission is calculated on net revenue — the amount RocketVault actually collects from a referred subscriber after refunds, chargebacks, and payment-processor fees, before income taxes. It is not calculated on the list price.

Monthly and annual plans. Commission applies to both monthly and annual subscriptions. For annual plans, the commission is paid once per renewal, calculated on the net amount collected for that term.

Recurring. Commission is recurring for as long as the referred subscriber remains continuously paid. If a referred subscriber cancels and later resubscribes, only periods of continuous paid subscription are eligible; lapses end the recurring commission for the lapsed period.

3. Clawback

If a referred subscriber refunds or charges back a payment within their first 60 days as a paying subscriber, the related commission is reversed and deducted from your balance. After 60 days, no clawback applies to that initial payment. We may withhold or offset pending commissions to cover clawbacks.

4. Payouts

Payouts are made manually by RocketVault. You provide your payout handle in the app under Settings → "Refer & Earn". We support payouts via:

• PayPal
• Venmo
• Zelle
• Cash App

Commissions accrue as referred subscribers are billed and clear the clawback window. We pay out earned, cleared commissions on a reasonable cadence (typically monthly). There is no minimum payout threshold. You are responsible for keeping a valid payout handle on file; we are not liable for payouts sent to an incorrect handle you provided.

5. Taxes

You are solely responsible for any taxes owed on commissions you earn. Commissions are paid gross, with no withholding. For U.S. payees, we may require a completed Form W-9 before issuing payouts, and we may issue an IRS Form 1099 where required by law when your annual earnings meet or exceed the applicable IRS reporting threshold. Failure to provide required tax information may delay or forfeit payouts.

6. Prohibited Conduct

The following are prohibited and may result in forfeiture of commissions, removal from the Program, and/or account termination:

• Self-referral or referrals of accounts you own or control;
• Spam — unsolicited bulk messaging, comment spam, or any sharing that violates a platform's terms or anti-spam laws;
• Fraud — fake sign-ups, stolen payment methods, cookie stuffing, or manipulation of attribution;
• Misrepresentation — false or misleading claims about RocketVault, its features, pricing, or the Program;
• Bidding on RocketVault trademarks in paid search or impersonating RocketVault.

Commissions tied to prohibited conduct will be reversed, and we may withhold any pending balance.

7. Changes to the Program

We may modify or discontinue the Program, including commission rates, bands, clawback terms, and payout methods, at any time. Material changes will be communicated through the app or by email. Commissions already locked to existing referred subscribers will continue at their locked rate unless the Program is discontinued. Continued participation after a change constitutes acceptance.

8. Termination

You may stop participating at any time. We may suspend or terminate your participation for violation of this Agreement or for any reason at our sole discretion. On termination for cause (e.g., fraud or prohibited conduct), unpaid commissions may be forfeited. On termination without cause, we will pay out earned, cleared commissions accrued through the termination date.
